CONFIDENTIALITY AGREEMENT
The broker has a duty to keep your proprietary information confidential. It would be horrendous if your broker approaches competitors of yours and then ends up disclosing material information to them. Consequently, the first document you must have is a confidentiality agreement. This will stipulate, for example, that you have the right to review what information the broker will show to a prospective buyer. (See chapter 6 for detailed tips about confidentiality agreements.)
